Terms of Service

The terms of this agreement ("Terms of Service") govern the relationship between you and No Surrender Yazılım ve Ticaret A.Ş., Registration: 306843-5 ("Company") with respect to the Legendary Club Owner mobile game ("Game" or "Service").

Before accessing or using the Service, you must accept these Terms of Service and our Privacy Policy. Before installing any Company website or game, or even simply browsing it, you must accept these Terms of Service and Privacy Policy. A guest account may be created for you to use the Service, and you may also need to open an account in the Service (collectively "Account"). This includes, for example, gaming Accounts. By using an Account, registering for an Account, or otherwise using the Service, you confirm that you are a legal adult in your country of residence. Additionally, there may be other restrictions under the applicable law in your jurisdiction.

The Game is a legitimate mobile game developed by the Company and is released for users 18 years and older. Downloading and basic use of the game on your device is free. Participation in the Rewards League (Pro Leagues) system defined below is optional; users can enjoy the basic features of the Game and continue playing without registering for or participating in the Rewards League or reward system. No fees are charged to users for registration and reward claims.

BY INSTALLING, USING, OR OTHERWISE ACCESSING THE SERVICE, YOU ACCEPT THESE TERMS OF SERVICE. If you do not accept these Terms of Service, please do not install, use, or otherwise access the Service. Use of the Service is void where prohibited. The Company reserves the right, at its sole discretion, to modify, amend, add to, or remove portions of these Terms of Service, Privacy Policy, and other related policies by posting the modified terms in the Service at any time. By continuing to use the Service, you are deemed to have accepted these changes.

This document may be updated without prior notice. It is the responsibility of the user to keep up with the current version of the document.

1. Using the Service

1.1. Your Right to Use the Service

Subject to your acceptance and continued compliance with these Terms of Service and other applicable Company policies, you have a non-exclusive, non-transferable, non-sublicensable, revocable, and limited right to access and use the Service for non-commercial entertainment purposes. You agree not to use the Service for any other purpose. The following limitations apply to the use of the Service:

• You accept all responsibility for unauthorized use of the Service by minors and any person temporarily or permanently incapable of legal capacity for any reason. You are responsible for your credit card or other payment method being used by minors.
• You may not use the Service to advertise, solicit, or transmit any commercial advertising, including chain letters, junk or unsolicited emails, or repeated or misleading messages.

Login Credentials and Your Account

You will need to choose a password for your Account or link it with an account from another social network ("Login Credentials"). You may not share your Account or Login Credentials with anyone other than yourself. If you become aware of or reasonably suspect any security breach, including loss, theft, or unauthorized disclosure of your Login Credentials, you must immediately notify the Company and change your Login Credentials. You are solely responsible for maintaining the confidentiality of your Login Credentials, and you are responsible for all uses of your Login Credentials, including purchases.

The Company reserves the right to remove or revoke any username at any time and for any reason, including claims that a third party's rights have been infringed. Unless you use a No Surrender ID, the Service supports only one Account per game on a supported device.

Official Communication and Account Security

Only trust the announced official communication channels. Be cautious of anyone claiming to be the Company, Game, or company official. Official notifications are only made through the announced official communication channels. The Company and its team will never ask you for a password, verification code (OTP), or similar security information; do not heed suspicious messages containing requests for passwords, verification codes, personal information, or payment information, and never share this information with anyone.

1.2. Use Restrictions

Violation of these Use Restrictions is strictly prohibited and may result in immediate termination of your limited rights and expose you to liability for law violations. You agree that you will not under any circumstances do the following:

• Engage in any action that violates the spirit or purpose of the Service or misuse support services.
• Use cheats, exploits, automation software, emulators, bots, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the Service.
• Disrupt, block, or otherwise negatively affect the normal flow of the Service; engage in profiteering and all forms of ranking manipulation, exploitation of errors for unfair advantage, or deliberate misuse of the Service design.
• Attempt to gain unauthorized access; organize or participate in any type of attack, including virus distribution or denial-of-service attacks.
• Use any Company game for gambling, betting, or similar activities where rewards can be won, and allow others to do so.
• Use the Service in violation of export controls, anti-money laundering rules, economic sanctions, or similar laws or regulations.
• Share your own Account or Login Credentials or allow multiple people to use them.
• Use the in-game chat section or any element of the Service to send, share, or allow others to engage in abuse, obscenity, religious offense, statements contrary to public order and constitutional order, or any other content that is illegal or violates law and morality.

The Company reserves the right to determine which behaviors violate use rules or fall outside the purpose and spirit of the Terms of Service or the Service, and may take action including but not limited to terminating your Account and prohibiting you from using the Service in whole or in part.

1.3. Fair Play, Single Account, and Consequences of Rule Violations

Fair play and equal competition are fundamental principles in the Service. Behaviors that provide unfair advantage, false statements, rule violations, manipulation, or uses that harm fair competition are not permitted.

In the Rewards League system, each user must participate through only one account. Multi-accounting, account sharing, acting on behalf of another person, false statements, or behaviors intended to abuse the system are prohibited.

Users who violate rules, attempt to deceive the system, gain unfair advantage, use multiple accounts, or for whom such behavior is detected may have their accounts suspended or closed. In such cases, the user's participation in the Rewards League may be terminated, their reward rights revoked, and their participation in the Rewards League registration process in future seasons may be restricted or prohibited. If it is later discovered that the terms were violated, the same consequences apply (including return of distributed rewards).

1.4. Account Suspension and Termination

Without limiting any other remedy, the Company may limit, suspend, terminate, modify, or delete Accounts or access to the Service or portions thereof with or without notice to you; (i) if it suspects you are not complying with these Terms of Service, or (ii) due to actual or suspected illegal or inappropriate use of the Service. As a result of Account termination or restriction, your identity and all benefits, privileges, earned virtual items, and purchased virtual items in the Service may be removed, and the Company has no obligation to compensate you for such losses.

The Company reserves the right to terminate any Account inactive for 180 days. The Company assumes no responsibility for any service provided through third-party services and links. The Company reserves the right to cease providing or supporting the Service or any specific game or portion thereof at any time.

You may terminate your Account at any time and for any reason by notifying the Company following the procedure described on our support page on our website. The Company may partially or fully refuse to comply with account deletion, closure, and similar requests due to obligations arising from tax law, other legitimate interests determined by the Company, or in accordance with Law No. 6698 on the Protection of Personal Data and other applicable law.

Account deletion, closure, and similar requests as well as complaints or requests regarding chat, images, virtual items, and any other content or elements within the Game are handled through the Company's customer support line. In order to evaluate and verify such requests, records specified in Section 8 may be used, and if necessary, users may be asked to provide physical or written documentation.

2. Rewards League Participation, Registration, and Verification Process

This section governs the rules, approvals, representations, and procedural steps relating to participation in the Rewards League system, official user registration, and verification of reward rights.

2.1. Participation Terms and General Principles

• Participation in the Rewards League is optional and is not conditioned upon any purchase, payment, or paid product use. No fees are charged to users for registration and reward claims.
• The Rewards League is available only for users 18 years and older.
• To participate in the Rewards League, users must complete the Rewards League registration process established for the relevant season in full; however, completion of this process does not guarantee participation in the Rewards League. In any case, user participation in the Rewards League is at the Company's sole discretion. Each season, users wishing to participate must re-complete the season registration process.
• Participation in the Rewards League is subject to checks within the scope of eligibility, security, verification, and game rules. Users who do not meet the required conditions, whose information cannot be verified, or for whom risky use is detected may not be accepted into the system or their participation may be subsequently terminated.

2.2. Registration Flow and Approvals/Representations

Official user registration is completed in a secure, multi-step flow managed by the Company and working with authorized business partners, including player registration, identity verification, and payment information verification. The registration flow includes, but is not limited to, the following steps:

• Pre-Information: Before registration begins, rules and legal texts are shown to the user. The user is informed before advancing without reading these steps.
• Legal Information and Acceptance: The user represents that they have read, understood, and accepted the information.
• Account Linking: To claim rewards, a guest account must be linked to a permanent account.
• Information Sharing Approval: Approval is obtained for the storage of identity and account information in accordance with the KVKK during the reward verification process and for sharing with only the contracted financial institution where necessary.
• Identity Information: For reward distribution, account information must match the user's identity. The user certifies that identity information (e.g., name, surname, Turkish ID number, and date of birth information) is correct and complete, belongs to them, and that they are acting solely on their own behalf.
• Financial Account Verification: The user declares their IBAN information for a demand deposit TL account held with a contracted financial institution, to which potential reward payment will be made. In the relevant season, compliance and verification processes can only be completed through accounts held by contracted financial institutions.
• Phone and OTP Verification: The user enters their phone number, which they claim to own, and completes verification by entering the one-time verification code (OTP) sent to their number. This number is used for OTP verification and security notifications.

Each approval and representation given during the registration process is recorded with timestamp, approved text version, and relevant hash summary. The user accepts that the approvals and representations they make during registration may have binding consequences for them. The user may exit the registration flow at any time, and the progress will be saved server-side so they can continue from where they left off.

2.3. Approval Process, Timeframes, and Rejection Reasons

After registration is completed, the application goes through: (i) collection of information, (ii) verification of compliance of identity information with financial account (verification of accuracy and matching of Turkish ID and account information), and (iii) verification of compliance with security and fair play rules.

• Account approvals are typically completed within 2 (two) business days and during business hours. These timeframes are estimates and the Company makes no commitment regarding these timeframes.
• Account approval and registration must be completed by the deadline announced for the relevant season. Applications not completed after this deadline may not be considered for the relevant season.
• If the declared identity and account (IBAN) holder do not match in identity and financial account verification, the application may be rejected and registration not included in the reward system. In case of rejection, a re-attempt restriction may be applied for a certain period (e.g., 24 hours) to prevent misuse.

3. Ownership

3.1. Games and Service

All rights, titles, and interests relating to the Service (including any game, title, computer code, themes, objects, characters, character names, stories, dialogues, slogans, concepts, artworks, animations, sounds, musical compositions, visual-audio effects, working methods, intellectual rights, documentation, in-game chat logs, character profile information, game records, and server software) belong to the Company. The Company reserves all rights, including all intellectual property rights or other property rights in connection with the games and Service.

The leagues, clubs, characters, players, team names, visual elements, and game universe in the Game are entirely fictional and designed solely for gameplay experience. No character, club, league, or organization in the Game represents or is connected to any real person, institution, club, federation, brand, or organization. The names, designs, visuals, texts, league structures, and other content used in the Game are intellectual property elements of the Company and may not be used without permission.

3.2. Accounts

You acknowledge and represent that you have no ownership or other property interest in the Account and that all rights relating to and in the Account belong to and will belong to the Company.

3.3. Virtual Content

The Company owns, has licensed, or otherwise has the right to use all content appearing in the Service or Game. You acknowledge that you have no right or title over any virtual items, content, features, goods, services, or currency appearing in or arising from any game, including any content appearing in the Service.

3.4. Marketing Rewards and Reward System

The Company may distribute various rewards temporarily or permanently through the Game; the method, duration, amount, lower and upper limits of these rewards may be determined and announced through the game. Rewards not claimed within the specified period or not meeting the conditions are not considered earned. Unless explicitly stated by the Company, the Company has no reward distribution obligations.

3.4.1. Rewards League System

3.4.1.1. Reward Determination and Distribution

Rewards are determined according to the Leadership Points ranking created at the end of the season. Reward earning is based on the ranking created from the sum of Leadership Points earned during the season. The reward pool may be distributed in decreasing proportions from the first to the last ranked eligible user within the relevant season rules; the distribution method is applied according to season rules and announced reward system principles. The reward pool is finalized at the end of the season and announced on the reward day.

If, during the season, technical errors, malfunctions, delays, cyber attacks, unauthorized system access or system integrity breaches, out-of-service factors interfering with or affecting the Rewards League, or any circumstance affecting the outcome of the relevant season in ways other than in-game determinants and rules occur, or if any circumstance that could affect fair play or equal competition in any way occurs, the Company has the right not to distribute all or part of the Rewards League season reward pool and to apply reasonable other measures and solutions within the scope of general law provisions and principles. In cases where rewards are not distributed in whole or in part due to these circumstances, the undistributed reward pool may be carried forward to subsequent seasons solely at the Company's discretion or distributed to players through other methods.

3.4.1.2. Reward Claim and Payment Process

Users who participated in the season, completed it, and have reward rights must complete their reward claim and necessary registration/verification procedures within 15 (fifteen) days following the opening of the relevant season's reward claim screen in the Game. Rewards for users who meet the necessary conditions are transferred in Turkish Lira through a contracted financial institution account. The user must have completed the requested information, verification, and eligibility processes for payment to proceed.

3.4.1.3. Unclaimed or Non-Transferable Rewards

Rewards not claimed within the specified period, unable to be paid due to failure to meet eligibility conditions, or for which the necessary verification process is not completed are evaluated within the relevant season rules.

3.4.1.4. Absence of Chance Factor

The Rewards League system is not based on chance or random reward distribution. Reward earning is determined by the Leadership Points ranking created at the end of the season, the user's performance, strategy, and game rules throughout the season. Match outcomes are calculated based on game metrics derived from real league data, taking into account team strength, player characteristics, tactical choices, development level, and related game parameters. If the same match is played again under the same conditions and with the same data, the system is designed to produce the same result. No random or chance factor is used in any process related to Leadership Points earning.

4. Fees and Purchase Terms

In the Game, you may purchase a limited, personal, non-transferable, non-sublicensable, revocable right to use (a) virtual in-game items, content or features, and (b) other goods or services (collectively "Virtual Items"). You are only permitted to purchase Virtual Items through the Service from us or our authorized partners.

All virtual item purchases and returns through the Service are final. You acknowledge and accept that you have no right of withdrawal regarding Virtual Items in accordance with Distance Contracts Regulation Article 15/1(ğ) and other applicable law, the Company is not obligated to provide any refund for any reason, and you will not receive money or other compensation for unused Virtual Items when an Account is closed. You agree to pay all taxes that will be incurred to or from you or anyone using your Account.

To be clear; participation in and success in the Rewards League and reward claims are not dependent on any Virtual Item purchase or payment. Optional visual development, ad skipping, or similar options and purchases in the Game are not intended to provide competitive advantage to the player, do not affect leadership points and ranking.

5. Service Updates

You understand that the Service is an evolving service. The Company may request that you accept updates to the Service and games you have installed on your device, and may update them with or without notice to you. From time to time, you may need to update third-party software to receive the Service.

6. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Company does not warrant that you will be able to access the Service whenever or wherever you wish; that the Service will be uninterrupted or error-free; that errors will be corrected; or that the Service will be free of viruses or other harmful components.

7. Limitation of Liability; Indemnification

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, punitive, or other similar damages, including without limitation loss of revenue, loss of profit, loss of data, or business interruption arising out of or related to these Terms of Service or the Service. To the extent not prohibited by law, the Company's liability to you shall not exceed the amount you have paid under these Terms of Service within the six (6) months immediately preceding your claim.

You agree to indemnify, defend, and hold harmless the Company (and its employees, directors, agents, affiliates, joint ventures, suppliers, and consultants) from and against any claims, demands, damages, or other losses, including reasonable attorney fees arising from or related to your use of the Service or your breach of these Terms of Service.

8. Dispute Resolution and Applicable Law

These Terms of Service are governed by Turkish law.

In disputes arising from these Terms of Service, the Istanbul Çağlayan Courts and Execution Offices are competent.

Many operations are recorded by the Company within the scope of Services, particularly regarding account opening, closure or restriction, and all operations affecting reward rights, as well as the in-game chat module, logs, and transaction records. All Company records are considered conclusive evidence in disputes arising from these Terms of Service.

9. General Provisions

If any portion of these Terms of Service is found unenforceable by a court of competent jurisdiction, such provision shall be ineffective only to the minimum extent necessary; the remaining provisions shall remain valid. The Company's failure to enforce any provision does not constitute a waiver of such provision. These Terms of Service, supplementary policies, and incorporated-by-reference documents (including the Privacy Policy) constitute the entire agreement between the parties. The Company shall not be liable for any delay or failure to perform arising from reasons beyond its reasonable control (force majeure).
